1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CowboyCode LLC, a Georgia limited liability company ("Company," "we," "us," or "our"), concerning your access to and use of the HerdOS website located at herdos.com and any related applications, services, or platforms (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Service immediately.

2. Description of Service

HerdOS is a comprehensive cattle and livestock management platform designed for ranchers, farmers, and agricultural professionals. The Service provides tools for:

  • Individual animal tracking and identification
  • Health records and veterinary treatment management
  • Breeding program management and genealogy tracking
  • Inventory and equipment management
  • Financial record keeping and reporting
  • Task scheduling and team collaboration
  • Pasture and location management
  • Data analytics and herd performance reporting

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Eligibility

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration and Security

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

5. Subscription and Payment Terms

Certain features of the Service may require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your selected subscription plan
  • Provide valid payment information and authorize recurring charges
  • Accept that subscription fees are billed in advance on a recurring basis
  • Understand that fees are non-refundable except as required by law or as expressly stated

We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable federal, state, local, or international laws or regulations
  • Infringe upon the intellectual property rights of others
  • Transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect or harvest data about other users without consent
  • Use the Service for any fraudulent or deceptive purpose
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Reverse engineer, decompile, or disassemble any aspect of the Service

7. User Content and Data Ownership

You retain full ownership of all data, information, and content you submit to the Service ("User Content"), including but not limited to livestock records, health data, financial information, and any other farm-related data.

By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing and improving the Service. We will not sell, share, or use your User Content for any purpose other than operating the Service without your explicit consent.

You are solely responsible for the accuracy, quality, and legality of your User Content and for ensuring you have all necessary rights to submit such content to the Service.

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by CowboyCode LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks, logos, and service marks may not be used without our prior written consent.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

9. Third-Party Services and Links

The Service may contain links to or integrate with third-party websites, services, or applications. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) the results obtained from the Service will be accurate or reliable; (c) any errors will be corrected; or (d) the Service will meet your specific requirements.

THE SERVICE IS NOT INTENDED TO PROVIDE VETERINARY, MEDICAL, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR SUCH ADVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COWBOYCODE LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Loss of goodwill or reputation
  • Cost of procurement of substitute services
  • Any other intangible losses

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless CowboyCode LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any rights of a third party
  • Your violation of any applicable laws or regulations

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination, after which we may delete your data in accordance with our data retention policies.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For significant changes, we may also notify you via email.

Your continued use of the Service after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration taking place in Troup County, Georgia.

YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and CowboyCode LLC regarding the Service and supersede all prior agreements and understandings.
